GENERAL CONDITIONS OF SALE


ARTICLE 1: Application and Acceptance
These General Conditions of Sale ("GCS") apply, without restriction or reservation, to all distance sales concluded by SOOA with any purchaser ("Client") who wishes to acquire products offered for sale ("Products") by SOOA on its Internet and mobile websites at www.sooa.com ("Website").


By placing an order, the Client fully and unreservedly accepts these GCS and particular conditions of their order (products, quantities, prices, delivery methods and times, etc.). The Client confirms acceptance by checking the box provided for this purpose prior to order confirmation.


ARTICLE 2: Object
These GCS define the rights and obligations of the Client in the context of online sales of Products supplied by SOOA via its Website, including ordering, payment, delivery, and any refunds.


ARTICLE 3: Products
Information on Products (name, quantity, price, accepted payment methods, delivery restrictions, legal references) is presented as accurately as possible on the Website. Photographs are indicative and not contractual.


Product Quality
SOOA ensures Products are stored, prepared, and packaged under strict quality rules.


Allergy & Nutrition
Allergens and nutritional information for food Products are listed on each Product detail page. For further details, contact Customer Service at contact@sooa.com.


Product Availability
SOOA honors orders up to available stock limits. If a Product is unavailable after order confirmation, SOOA notifies the Client by email and refunds the unavailable item within 30 days.


ARTICLE 4: Ordering Process

  • Account creation: Clients may create an account with truthful data or place orders as guests by providing required personal information. Data for guest checkout may be retained for up to three years from the end of commercial relations.

  • Order steps: selection, delivery method, basket confirmation, client identification, delivery and invoicing information, acceptance of GCS, payment confirmation. The Client can modify choices at any stage prior to final confirmation.


ARTICLE 5: Prices and Payment
Prices displayed on the Website at the time of order are in Canadian dollars (CAD), inclusive of applicable taxes (e.g., GST/HST), excluding delivery charges. Delivery fees are added before order confirmation. SOOA may adjust prices at any time; confirmed orders lock in the price at registration.


Payment is due upon order placement via secure payment gateways (e.g., credit card, PayPal). The Client guarantees the validity of their payment method. Failed payments may result in order cancellation.


ARTICLE 6: Delivery
Products are delivered to addresses in Canada only. Delivery methods (standard, express, Click & Collect) and charges are displayed at checkout. Estimated delivery dates are indicative; SOOA uses best efforts but is not liable for carrier delays.

  • Click & Collect: Available at SOOA Toronto retail location(s) listed on the Website. Orders will be ready within one business day of confirmation and held for pickup until the end of the specified pickup date. Uncollected orders are considered forfeited and non-refundable.


ARTICLE 7: Receipt and Claims
The Client must inspect Products upon receipt. Claims for missing, damaged, or non-conforming Products must be submitted within three (3) days to Customer Service at contact@sooa.com, with supporting photos.


ARTICLE 8: Transfer of Ownership and Risk
Ownership transfers to the Client upon full payment. Risk transfers upon handover to the carrier or pickup by the Client.


ARTICLE 9: Complaints and Customer Service
Clients may submit complaints to Customer Service:


If unresolved, Clients may contact the Office of the Privacy Commissioner of Canada for data issues, or the appropriate provincial consumer protection agency for sales disputes.


ARTICLE 10: Right of Withdrawal
Under Canadian consumer protection laws, the right of withdrawal does not apply to: perishable Goods, custom-made items, or goods unsealed for hygiene or health reasons. For other Products, Clients have fourteen (14) days from receipt to request withdrawal. Returned items must be in original condition and packaging; return shipping costs are borne by the Client. Refunds of product price and delivery fees are issued within 14 days of receipt of returned Goods.


ARTICLE 11: Warranties
Products are subject to statutory warranties under Canadian law: implied warranty of merchantability and fitness for a particular purpose. Claims must be made within applicable limitation periods.


ARTICLE 12: Intellectual Property
All Website content (texts, images, trademarks) is the exclusive property of SOOA. Any reproduction without prior written consent is prohibited.


ARTICLE 13: Governing Law and Dispute Resolution
These GCS are governed by the laws of Canada and the Province of Ontario. In case of dispute, parties seek an amicable solution before any legal action. Failing that, disputes are submitted to the courts of Toronto, Ontario.
